Mergers and Acquisitions
In the realm of mergers & acquisitions (M&A), having the right legal counsel is essential. We recognise that every transaction, whether it involves an acquisition, a merger, a joint venture, or a business disposal, is a crucial step for our clients. Navigating the intricacies of deal structuring, managing unexpected complexities, and facilitating efficient negotiations can be a challenge without the right guidance. Our considerable understanding of both public and private M&A transactions, and multidisciplinary team of over 30 lawyers ensures a seamless process.
Overview
M&A transactions, public or private, typically have several components and go through a variety of phases. These include agreeing the deal in outline, structuring, due diligence, documentation and its negotiation, pre-transaction reorganisation steps, signing, satisfying conditions precedent, closing and post-closing integration. There are frequently linked transactions too, such as equity fundraisings, co-investment arrangements and/or bank financings.
What sets us apart is our adaptability; we cater to our clients' unique needs. Whether they require comprehensive support through every phase or assistance with specific components of the transaction, we provide the level of service they need.
Our extensive experience enables us to offer valuable insights gained from countless successful deals, ensuring our clients benefit from strategies that work. We work seamlessly with our clients and their other advisors, adhering to their instructions, and tailoring our services to align with their goals. The result is a cost-effective, efficient, and ultimately successful transaction.
Across the last year we successfully closed numerous transactions, often with cross-border implications, working across key industries such as technology, real estate, insurance, healthcare, and more.
We are also renowned for assisting entrepreneurs and owner-managers in selling their businesses. We understand their unique needs, including taxation considerations, and guide them expertly through the entire sale process.
