  • Biography

    Michael is a corporate and finance lawyer based in our Bristol office.  Michael advises public and private companies and public sector bodies on a broad range of corporate transactions, including acquisitions and disposals, joint ventures, buy-outs and equity fundraisings.

    Michael has wide transactional experience advising banks and other financial institutions and borrowers on a variety of finance matters, including development and acquisition finance and structured finance arrangements

    Michael's experience with DAC Beachcroft (and legacy firm Beachcroft) includes advising:

    Corporate

    • the UK arm of the deVere Group on its strategic partnership with Fidelius Group;
    • the shareholders of Breathe Energy on its disposal to Imtech (a joint venture between EDF and Dalkia);
    • Mobeus Private Equity on the management buyout of Kinneir Dufort;
    • St James's Place on numerous acquisitions including the acquisition of its cornerstone international wealth management business in Singapore, Hong Kong and Shanghai and the acquisition of the Rowan Dartington Group;
    • Fidelity International on its £20m divestment of Mutual Fund Technologies Limited to Australian listed company, Bravura Solutions;
    • Southampton NHS Foundation Trust on the disposal of the Complete Fertility Centre to Virtus Health;
    • the shareholders of The Serviced Apartment Company on its disposal to Oaktree Capital;
    • Ultrahaptics on a number of fundraising rounds, including on its oversubscribed £35m Series C fundraising;
    • Ultrahaptics on its acquisition of Silicon Valley based Leap Motion; and
    • the management of financial services group CapQuest on the £158m sale of the group to Arrow Global.

    Finance

    • Boost & Co on numerous growth capital loans;
    • Backhouse Housing on its £50m investment fund with Cheyne Capital;
    • Deeley Freed Estates on the establishment of a £100m property fund;
    • Deeley Freed Estates on its £8.5m financing with Development Securities;
    • Santander on numerous investment property finance transactions;
    • Puma Investment Management on numerous development finance transactions;
    • a listed online gaming company on its £175m acquisition finance facility;
    • a leading NHS Foundation Trust on the structuring of a substantial term loan facilities;
    • The Serviced Apartment Company on its general corporate facilities and the development finance facility for its major Cannon Street aparthotel; and
    • Surrey County Council on the substantial loans advanced by it and Woking Borough Council to the joint venture vehicle established between them and a private developer to fund the redevelopment of parts of Woking Town Centre.
