Michelle specialises in corporate law, particularly equity capital markets and public mergers and acquisitions.
She has over 15 years’ experience advising clients on a broad range of corporate and corporate finance issues for both private and public companies operating in a variety of sectors and at all stages of their corporate lives.
Michelle focuses on public company work, particularly AIM and Standard List admissions, reverse takeovers, capital raisings, schemes of arrangement, contractual offers, Rule 9 waivers, court approved reductions of capital and disposals. She has worked on a wide range of transactions from the very large to the relatively small as well as transactions having multi-jurisdictional elements. She also advises companies on their ongoing compliance with company law and relevant listing rules as well as finding solutions to clients' everyday legal and commercial problems.
Relevant experience includes advising:
- Viaro Energy Limited on its £248 million acquisition of RockRose Energy plc by way of a court approved scheme of arrangement.
- Castleton Technology plc on its £83 million sale to MRI Software Limited by way of a court approved scheme of arrangement and previously on its £20 million court approved reduction of capital.
- Shore Capital and Peel Hunt in connection with Inspired Energy plc's £30 million placing and up to £5 million open offer.
- Hawkwing plc on its move from AIM to the Standard List and associated £1.6 million placing.
- MJ Hudson Group plc on its admission to AIM and £29.3 million fundraising.
- Diaceutics plc on its admission to AIM and £17 million fundraising and its subsequent £20.5 million secondary fundraising.
- Warpaint London plc on its admission to AIM and associated £23 million fundraising and its subsequent acquisition of Retra Holdings Limited and associated £21.2 million fundraising.
- TLA Worldwide plc on the announced bid for it by Atlantic Alliance Partnership Corp. by way of a court approved scheme of arrangement.
Michelle is recognised by Legal 500 as a key lawyer for Equity Capital Markets (Low-Mid Cap). Sources have described her as an 'absolutely safe pair of hands' and she is also praised for her 'excellent commercial sense and understanding'.
