Biographie
Toby is a banking and finance lawyer with more than 15 years of experience advising on all types of debt and structured finance transactions, including leveraged and acquisition finance, loan portfolio transactions and general corporate lending.
Over this time, Toby has worked with various market participants, including private equity sponsors, senior and junior lenders (including alternative credit providers), financial advisors, strategic investors and corporate borrowers and he has extensive experience of working on both domestic and multi-jurisdictional cross-border transactions. Toby also advises clients on debt restructurings and other stressed and distressed transactions.

Acquisition Finance
- Viaro Energy on the financing of the c.£250,000,000 take private of RockRose Energy plc
- the mandated lead arrangers in respect of a EUR 1.5 billion acquisition facility of a Nordic heavy plant business*
- the Sponsor and its affiliated funds on the senior and subordinated financing aspects of the secondary buyout of a leading convenience foods manufacturer*
- the lender in connection with its unitranche financing for the acquisition of a leading UK convention centre*
- the sponsor (in partnership with a co-investor) on its joint mezzanine facility to (and related equity investment in) a Dutch-based investment, development and management company with a focus on the hospitality market in major airports and cities in the Netherlands and other European countries*
- the lenders in connection with the senior and mezzanine debt financing provided in connection with the MBO of a UK retail business*
- a UK borrower on its unitranche financing for the acquisition of a US target company*
Receivables Finance
- Tower Street Finance on a £15,000,000 receivables backed credit facility provided by a leading private creditor fund in respect of its Inheritance Advance product
- 118 Money in connection with various consumer loan and credit card receivable financing facilities*
- the lenders in connection with a number of SME receivables financings in the fintech arena. These financings have included loans to peer-to-peer lending platforms secured against a fluctuating receivables pool*
Restructuring
- a group of international banks on the restructuring of the USD 3.5 billion facilities for a borrower in the oil and gas sector*
- a Greek petro-chemicals company in connection with its circa $1 billion debt refinancing by way of “dual facilities” involving an English law term loan facility and a Greek law bond loan*
- the borrower in connection with the restructuring of its multiple debt facilities including a transfer of the Group’s shares to AIM, a debt for equity swap and the restatement of the group’s residual debt*
- the Steering Committee of lenders in relation to the $2bn debt restructuring of the Ukrainian steel manufacturer*
